📄 Acceptance of terms

These Terms form a legally binding agreement between you and ChatSeed ("we", "us", "our"). They govern your access to and use of our mobile application, web application at app.chatseed.com, website at chatseed.com, and all related services.

These Terms should be read alongside our Privacy Policy.

💬 The Service

ChatSeed provides an end-to-end encrypted messaging platform with integrated HD video and voice calling, and a non-custodial Ethereum-compatible crypto wallet. The Service allows users to:

• Send and receive encrypted messages in direct and group conversations
• Make and receive HD video and voice calls via WebRTC
• Send and receive cryptocurrency (ETH and ERC-20 tokens) directly within conversations
• Create and manage encrypted group chats and broadcast channels

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

🎂 Eligibility

You must be at least 13 years old (or 16 in the European Union) to use ChatSeed. By using the Service, you represent and warrant that you meet this age requirement.

You must not be prohibited from using the Service under the laws of your jurisdiction. It is your responsibility to ensure that your use of ChatSeed complies with all applicable local, national, and international laws and regulations.

🔐 Your account

Your ChatSeed account is identified by your Ethereum wallet address, derived from your 24-word seed phrase. You are solely responsible for:

• Keeping your seed phrase safe and confidential
• All activity that occurs under your account
• Any loss of funds resulting from losing or exposing your seed phrase

You must not share your seed phrase or private key with anyone, including ChatSeed staff. We will never ask for your seed phrase.

💰 Crypto wallet & transactions

The built-in crypto wallet is entirely non-custodial. ChatSeed does not hold, control, or have access to your funds at any time. All transaction signing occurs locally on your device.

• You are solely responsible for all transactions you authorize
• Blockchain transactions are irreversible — we cannot cancel, reverse, or refund them
• You are responsible for verifying recipient addresses before sending funds
• Network fees (gas) are determined by the blockchain and not controlled by us
• Cryptocurrency values are volatile — we make no representations about value

ChatSeed is not a financial institution, money transmitter, or regulated financial services provider. Nothing in the Service constitutes financial, investment, or legal advice.

✅ Acceptable use

You agree to use ChatSeed only for lawful purposes and in accordance with these Terms. You are responsible for all content you send through the Service.

You agree that you will:

• Comply with all applicable laws and regulations
• Respect the rights and dignity of other users
• Use the Service only for its intended communication purposes
• Keep your device and account credentials secure
• Promptly notify us at [email protected] if you suspect unauthorised access to your account

🚫 Prohibited conduct

You must not use ChatSeed to:

• Transmit illegal content, including child sexual abuse material (CSAM) — zero tolerance, immediately reported to authorities
• Harass, threaten, stalk, or abuse other users
• Conduct fraud, phishing, or financial scams
• Send spam, unsolicited bulk messages, or automated messages
• Distribute malware, viruses, or malicious code
• Violate intellectual property rights of any third party
• Attempt to reverse-engineer, decompile, or tamper with the Service
• Circumvent rate limits, access controls, or security measures
• Use the Service to facilitate money laundering or terrorist financing
• Impersonate any person or entity, including ChatSeed staff

We reserve the right to terminate accounts and report illegal activity to law enforcement without prior notice.

📁 User content

You retain ownership of all content you create and send through ChatSeed. By using the Service, you grant ChatSeed a limited, non-exclusive licence to store and transmit your content solely for the purpose of operating the Service.

Because messages are end-to-end encrypted, we cannot review content. You are solely responsible for ensuring that your content complies with these Terms and applicable law. You represent that you have all necessary rights to share any content you transmit.

The ChatSeed name, logo, website, and application — including all underlying code, design, and branding — are the intellectual property of ChatSeed and protected by copyright, trademark, and other applicable laws.

You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our express written permission. Nothing in these Terms grants you any rights to our intellectual property.

⚠️ Disclaimers

To the fullest extent permitted by law, ChatSeed disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee the availability, reliability, or accuracy of the Service. We are not responsible for the content of messages sent by users, the outcome of any cryptocurrency transaction, or any loss resulting from reliance on the Service.

⚖️ Limitation of liability

To the maximum extent permitted by applicable law, ChatSeed and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of cryptocurrency or other funds due to lost seed phrases, compromised devices, or user error
• Loss of data, messages, or communications
• Loss of profits, revenue, or business opportunities
• Unauthorised access to or alteration of your account
• Conduct of third parties using the Service

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed USD $100 or the amount you paid us in the 12 months preceding the claim, whichever is greater.

🛡️ Indemnification

You agree to indemnify, defend, and hold harmless ChatSeed and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your user content.

🔚 Termination

You may stop using ChatSeed at any time. Because your account is tied to your wallet — not an email — there is no formal "delete account" flow required; simply stop using the app and your session will expire.

We reserve the right to suspend or terminate your access to the Service at any time, without notice, if we reasonably believe you have violated these Terms or applicable law. Termination does not affect any rights or obligations that arose prior to termination.

🌍 Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer in the EU, you may also benefit from mandatory protective provisions of the law of your country of residence.

📝 Changes to these Terms

We may update these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where possible, notify you via an in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Service.
